THE FOLLOWING DESCRIBES THE TERMS ON WHICH New Client Classifieds™ OFFERS YOU ACCESS TO OUR SERVICES. PLEASE READ THESE TERMS AND CONDITIONS OF USE CAREFULLY. BY ACCESSING OR USING THIS WEB SITE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS DESCRIBED HEREIN AND ALL TERMS, POLICIES, GUIDELINES AND DISCLOSURES INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THIS WEB SITE.

Publishers: Any company/business that has advertising space available for sale or wishes to access additional clients.
Advertisers: Any company/business/service that is in need of advertising or wishes to access additional clients.

The term "Publisher" and "You" means any individual, company or authorized representative who seeks to list discounted advertising offers via the New Client Classifieds™ web site.

The term "Advertiser" and "You" means any authorized business or service representative who seeks to buy advertising from any participating Publisher on the New Client Classifieds™ web site.

The terms "Site," "Our," "Us" or "We" mean New Client Classifieds™.

These services include providing you with the ability to: (Publishers) (1) Post listings on the New Client Classifieds™ website that offer a form of discounted advertising to be accessible to Advertisers, (2) Increase client base by accessing listings posted by Advertisers, (3) "Meet My Budget" offers submitted by Advertisers. (Advertisers) (1) Post your advertising needs on the New Client Classifieds™ website to be accessible to Publishers with qualifying offers, (2) Find advertising opportunities posted by Publishers, (3) Submit "Meet My Budget" offers to Publishers offering discount advertising space.

We may amend this Agreement at any time by posting the amended terms on our site. Except as stated below, all amended terms shall automatically be effective immediately after they are initially posted on New Client Classifieds™.

1. Copyright and Limited License

Unless otherwise indicated, New Client Classifieds™ and all content and other materials on the site, including, without limitation, the company logo, and all designs, text, graphics, pictures, reviews, information, data, software, sound files, other files and the selection and arrangement thereof (collectively, the "Site Materials") are the proprietary property of New Client Classifieds™ LLC or its licensors or users and are protected by U.S. and international copyright laws.

You are granted a limited, non-sublicensable license to access and use the Site [and electronically copy, (except where prohibited without a license)] and print to hard copy portions of the Site Materials for your informational, non-commercial and personal use only such license is subject to these terms of use and does not include or authorize: (a) any resale or commercial use of the Site or the Site Materials therein; (b) the distribution, public performance or public display of any Site Materials, (c) modifying or otherwise making any derivative uses of the Site and the Site Materials, or any portion thereof; (d) use of any data mining, robots or similar data gathering or extraction methods; (e) downloading (other than the page caching) of any portion of the Site, the Site Materials or any information contained therein, except as expressly permitted on the Site; or (f) any use of the Site or the Site Materials other than for its intended purpose. Any use of the Site or the Site Materials other than as specifically authorized herein, without the prior written permission of New Client Classifieds™ LLC, is strictly prohibited and will terminate the license granted herein. Such unauthorized use may also violate applicable laws including without limitation copyright and trademark laws and applicable communications regulations and statutes. Unless explicitly stated herein, nothing in these Terms of Use shall be construed as conferring any license to intellectual property rights, whether by estoppels, implication or otherwise. This license is revocable at any time.

2. Trademarks

New Client Classifieds™, the New Client Classifieds™ logo and any other product or service name or slogan contained in the Site are trademarks of New Client Classifieds™ and its suppliers or licensors, and may not be copied, imitated or used, in whole or in part, without the prior written permission of New Client Classifieds™ LLC or the applicable trademark holder. You may not use any metatags or any other "hidden text" utilizing " New Client Classifieds™" or any other name, trademark or product or service name of New Client Classifieds™ without our prior written permission. In addition, the look and feel of the Site, including all page headers, custom graphics, button icons and scripts, is the service mark, trademark and/or trade dress of New Client Classifieds™ and may not be copied, imitated or used, in whole or in part, without our prior written permission. All other trademarks, registered trademarks, product names and company names or logos mentioned in the Site are the property of their respective owners.

3. User Eligibility

Our services are available only to individuals or business entities that can form legally binding contracts under applicable law. Any person using New Client Classifieds™'s services must have the authority to legally bind a contract. Without limiting the foregoing, our services are not available to minors. If you do not qualify, please do not use our services. Further, our services are not available to temporarily or indefinitely suspended New Client Classifieds™ users.

4. Third Party Content

New Client Classifieds™ or users may provide links to Web pages and content of third parties as a service to those interested in such links and content, and New Client Classifieds™ may post third party content or allow users to post their content or third party content to the Site (such content is collectively referred to as "Third Party Content"). New Client Classifieds™ does not monitor or have any control over any Third Party Content or third party Web sites. New Client Classifieds™ does not endorse or adopt any Third Party Content or third party Website and can make no guarantee as to its accuracy or completeness. New Client Classifieds™ does not represent or warrant the accuracy of any information contained therein and undertakes no responsibility to update or review any Third Party Content or third party Websites. Users use these links, Third Party Content and third party Websites at their own risk.

5. Third Party Services

The Site may also contain, provide information regarding or link to certain applications and services provided or offered by third parties (collectively the "Third-Party Services"), including without limitation legal and legal related services. New Client Classifieds™ is merely an information provider and is not a referral service, and it does not recommend or endorse any such Third-Party Services or monitor or have any control over such Third-Party Services. Therefore, New Client Classifieds™ makes no guarantee, representation or warranty of any kinds as to the quality, competency, value, reliability, responsiveness, accuracy or completeness of any such Third-Party Services or the results obtained therefrom, and New Client Classifieds™ assumes no responsibility or liability for any Third Party Services or for the actions or failure to act of those providing such Third-Party Services. You assume full responsibility for your use of any such Third-Party Services, and New Client Classifieds™ is not responsible or liable for any Third-Party Services.

6. Advertisements and Promotions

New Client Classifieds™ may run advertisements and promotions from third parties on the Site. Your business dealings or correspondence with, or participation in promotions of, advertisers other than New Client Classifieds™, and any terms, conditions, warranties or representations associated with such dealings, are solely between you and such third party. New Client Classifieds™ is not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such non- New Client Classifieds™ advertisers on the Site.

7. Submissions

You acknowledge and agree that any materials, including but not limited to questions, comments, reviews, suggestions, ideas, feedback, plans, notes, original or creative materials or other information, provided by you in the form of email or other submissions to New Client Classifieds™, or any postings on the Site, are non-confidential and shall become the sole property of New Client Classifieds™. New Client Classifieds™ shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these materials for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

8. Fees for Services

Registration on New Client Classifieds™ is free to you. Please view "How it works" for applicable fees for Publishers and Advertisers.

9. New Client Classifieds™ is only a venue

A. Overview. Our site acts as the venue for Publishers and Advertisers to post listings (or, as appropriate, solicit offers to buy). We are not involved in the actual transaction between Publishers and Advertisers. As a result, we have no control over the quality, safety or legality of the items advertised, or the truth, the accuracy of the listings and the ability of Publishers or Advertisers to sell items. We cannot ensure that a Publisher or Advertiser will actually complete a transaction.

B. Safe Transactions. Because user authentication on the Internet is difficult, New Client Classifieds™ cannot and does not confirm each user's purported identity.

C. Release. Because we are not involved in the actual transaction between Publishers and Advertisers, in the event you have a dispute, you release New Client Classifieds™ (and our officers, directors, agents, subsidiaries and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

D. Information Control. We do not control the information provided by other users, which is made available through our system. You may find other users' information to be offensive, harmful, inaccurate, or deceptive. Please use caution and common sense when using our site. Please understand that there may exist the risk of dealing with foreign nationals, underage persons or people acting under false pretense.

E. Dispute Resolution. New Client Classifieds™ does not act as a mediator between Publishers and Advertisers over disagreements about advertisements. If any aspect of the relationship with any party involves aggrieves you, it is your responsibility to contact the said party in an attempt to resolve the dispute.

10. Your Information

A. "Your Information" is defined as any information you provide to us or other users in the registration, buying, or listing process, in any public message area or through any e-mail feature. You are solely responsible for "Your Information", and we act as a passive conduit for your online distribution and publication of "Your Information".

B. Your Information: (a) shall not be false, inaccurate or misleading; (b) shall not contain fraudulent information; and (c) shall not violate any law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising).

C. Solely to enable New Client Classifieds™ to use Your Information, so that we are not violating any rights you might have in Your Information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise the copyright and publicity rights (but no other rights) you have in Your Information, in any media now known or not currently known, with respect to Your Information.

11. Breach, Suspension or Termination

Without limiting other remedies, we may immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your membership and refuse to provide our services to you for any reason we deem appropriate in our sole discretion. Such reasons include, but are not limited to: (a) your breach of this Agreement or the documents it incorporates by reference; (b) our inability to verify or authenticate any information you provide to us; (c) your provision of fraudulent information to us or our users; (d) if you have interfered with the integrity of the functioning of our site, including but not limited to price manipulation; or (e) our belief that your actions may cause legal liability for you, our users or us.

If we choose to ignore any violation of this agreement or other activities which could give rise to suspension or termination, such action or inaction on our part will not constitute a waiver of any of our rights including suspension, termination or otherwise.

12. Trademarks

You acknowledge and agree that New Client Classifieds™ has the right to use, all logos, trademarks and service marks.

13. No Warranty

New Client Classifieds™ AND ITS SUPPLIERS PROVIDE OUR WEB SITE AND SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. OUR SUPPLIERS AND WE SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

New Client Classifieds™ is not a party to the final contract that arises between Publishers and Advertisers. New Client Classifieds™ cannot and does not guarantee the truthfulness or accuracy of any user.

14. Liability Limit

IN NO EVENT SHALL New Client Classifieds™ OR ITS SUPPLIERS BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH OUR SITE, OUR SERVICES OR THIS AGREEMENT (HOWEVER ARISING, INCLUDING NEGLIGENCE).

OUR LIABILITY, AND THE LIABILITY OF OUR SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE GREATER OF (A) THE AMOUNT OF FEES YOU PAY TO US IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, AND (B) $100.

15. Indemnity

You agree to indemnify and hold us and our subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

16. Legal Compliance

You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of our service and your listing, purchase, solicitation of offers to purchase, and sale of items.

17. No Agency

No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

18. Notices

Except as explicitly stated otherwise, any notices to us shall be given by email to info@newclientclassifieds.com. Any notices to you shall be given by email to the email address you provide to New Client Classifieds™ during the registration process. Alternatively, we may give you notice by certified mail, postage prepaid and return receipt requested, to the address provided by you to New Client Classifieds™ during the registration process. Notices via email shall be deemed given 24 hours after email is initially sent.

19. Right of Use

New Client Classifieds™ reserves the right to deny or terminate service to any business, individual or entity that we deem is not compliant with these terms of use. New Client Classifieds™ reserves the right to delete listings without notice for inappropriate material, including but not limited to any content that is false, misleading, unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable. In the case of non-compliance, the forenamed will forfeit all previous payments made for service. If you believe a listing to be non compliant, please report it to info@newclientclassifieds.com.

20. Registration Data; Account Security

In consideration of your use of New Client Classifieds™, you agree to (a) provide accurate, current and complete information about you as may be prompted by any registration forms on the Site ("Registration Data"); (b) maintain the security of your password and identification; (c) maintain and promptly update the Registration Data, and any other information you provide to New Client Classifieds™, to keep it accurate, current and complete; and (d) accept all risks of unauthorized access to the Registration Data and any other information you provide to New Client Classifieds™. In addition, you agree not to access or use, or attempt to access or use, the Site or any part thereof using the identity or the Registration Data of any person other than yourself.
